Simon's Theory on Contract Choice and Uncertainty

Herbert Simon's theory explains the conditions that determine whether a firm uses a work-for-hire contract or an employment contract. According to Simon, if a task can be clearly and easily defined, a specific-task (work-for-hire) contract is suitable. However, when there is significant uncertainty and the employer cannot predetermine the exact duties of the worker, it becomes impractical to specify them in a contract. In such cases, an employment relationship, which is a defining feature of a firm, is established instead.
