Justifying an Optimal Negotiation Point

In a two-party negotiation, Party A is formulating a counter-offer to an initial proposal from Party B. The optimal counter-offer for Party A is found at the point where their highest possible utility curve is just touching the boundary of all possible agreements that Party B would accept. Explain why any point inside this boundary, even if acceptable to Party B, would not be the optimal choice for Party A.
