Establishing Retainage Release Terms Before Signing the Agreement

Before a subcontract is signed, the contractor should define exactly when withheld funds will be released. Vague phrases such as "when the work is acceptable" should be replaced with objective milestones that can be checked in writing, such as passing final inspection, turning over marked-up drawings, delivering signed lien waivers, and completing punch-list items. Putting those conditions into the contract reduces disputes during closeout. In some projects, part of the retainage may be released at substantial completion, while the rest remains until final completion. A simple tracking list can help the contractor request each release as soon as the required condition is met. The specific retainage rate and release timing can depend on local rules and the contract form.
